{"id":3129,"date":"2020-12-21T08:02:42","date_gmt":"2020-12-21T08:02:42","guid":{"rendered":"http:\/\/www.ceo-worldwide.com\/blog\/?p=3129"},"modified":"2025-03-11T08:09:38","modified_gmt":"2025-03-11T08:09:38","slug":"structure-and-requirements-for-an-effective-board-of-directors","status":"publish","type":"post","link":"https:\/\/www.ceo-worldwide.com\/blog\/structure-and-requirements-for-an-effective-board-of-directors\/","title":{"rendered":"STRUCTURE AND REQUIREMENTS FOR AN EFFECTIVE BOARD OF DIRECTORS"},"content":{"rendered":"<div id=\"bsf_rt_marker\"><\/div>\n<div style=\"height:30px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"wp-block-paragraph\">It should be clearly noted that in terms of the Companies Act, all Directors, Executive and Non-Executive Directors have a statutory duty to promote the success of the Company for the benefit of its members as a whole.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">CHARACTERISTICS OF AN EFFECTIVE BOARD OF DIRECTORS WISHING TO DO AN IPO<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Well-functioning Boards of Directors are teams led by the Chairman.<\/li>\n\n\n\n<li>The Board of a public Company must be carefully selected and managed, taking into account group dynamics and the needs of the business.<\/li>\n\n\n\n<li>Succession planning is very important and a clear policy needs to be documented.<\/li>\n\n\n\n<li>A well refined Corporate strategy is most likely to be developed by a Board of Directors and delivered by an executive team, and encouraged by the Chairman, to work together for the benefit of all stakeholders.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">CHAIRMAN ROLE<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The role of the Chairman has become much higher in profile and the expectations have increased as quite rightly, shareholders now expect an engaged, energetic, charismatic and involved Chairman who does more than simply manage the Corporate Governance process.<\/li>\n\n\n\n<li>The success of a Chairmanship undoubtedly hinges on the relationship the Chairman has with the CEO, a relationship which should be centered on honesty, trust and transparency. The success of the relationship is based on mutual understanding, by both parties of the distinction between their two roles.<\/li>\n\n\n\n<li>Effective Chairmen must have a good knowledge of the business to provide a constructive level of challenge to the CEO.<\/li>\n\n\n\n<li>Chairmen need to comprehend that they are not there to run the business. Their role is to support and guide. Therefore, Boards including Directors associated with major shareholders should clearly explain to shareholders the reasons for them sitting on the Board.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">COMPOSITION OF THE BOARD<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A balanced Board of Directors of a listed Company would consist of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A Non-Executive Chairman<\/li>\n\n\n\n<li><a href=\"https:\/\/www.ceo-worldwide.com\/executive-search-engine.php?lev=NEXD&amp;fnct_code=&amp;sect_code=&amp;terr_code=&amp;submit=Search#home\" target=\"_blank\" rel=\"noreferrer noopener\">Non-Executive Directors<\/a> \u2013 usually two (one of whom may be the Chairman)<\/li>\n\n\n\n<li>Executive Directors<\/li>\n\n\n\n<li>Independent NEDs are important as they provide the appropriate oversight to deliver the strategy of the Company for the benefit of shareholders as a whole. Independence can be defined as independence of character and judgement, and being able to demonstrate this to shareholders in an objective manner.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The qualities required in my opinion:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Good interpersonal skills<\/li>\n\n\n\n<li>Sound judgement<\/li>\n\n\n\n<li>Ability to influence<\/li>\n\n\n\n<li>Integrity<\/li>\n\n\n\n<li>The independence and conviction to say things that need saying when necessary<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The NEDs usually chair and sit on the following committees<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Audit Committee<\/li>\n\n\n\n<li>Risk Committee<\/li>\n\n\n\n<li>Remuneration Committee<\/li>\n\n\n\n<li>Nominations Committee<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">CULTURE<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The <a href=\"https:\/\/www.frc.org.uk\/\" target=\"_blank\" rel=\"noreferrer noopener\">FRC<\/a> recently came out with a report which looked at the increasing importance which Corporate culture plays in delivering long term business and economic success.
